Prophecy Points Terms and Conditions

The Rewards Program enables participants to earn prediction points (“Points”) by completing qualifying activities across social prediction market venues that operate on the Prophecy protocol (each, a “Venue”) during each defined rewards period (each, a “Rewards Period”). Points are aggregated on a cross-Venue basis and may determine eligibility for, and allocation of, Rewards upon conclusion of a Rewards Period.

The Rewards Program is operated independently of, and separately from, each individual Venue. The operator of the Rewards Program is not a party to any transaction, prediction, or activity that takes place on or through any Venue, and assumes no responsibility for the conduct, content, availability, terms, or legality of any Venue or any activity thereon.

Nothing in these Terms modifies or supplements any terms or conditions that govern your relationship with any Venue. Participation in the Rewards Program is separate from, and does not affect, any rights or obligations you may have under any Venue’s terms. Any dispute with a Venue must be resolved directly with that Venue.

To be eligible to participate in the Rewards Program and to receive any Rewards, you must:

• be a natural person of at least 18 years of age, or the age of legal majority in your jurisdiction if higher, and have the legal capacity to enter into binding agreements under the laws of your jurisdiction;

• not be subject to any economic or trade sanctions administered or enforced by any governmental authority, nor be designated on any list of prohibited or restricted parties maintained by any governmental authority with jurisdiction over the Rewards Program;

• not be a citizen, resident, or national of, or incorporated or otherwise established in, any jurisdiction in which participation in the Rewards Program or receipt of Rewards is prohibited or restricted by applicable law; and

• satisfy any additional eligibility or verification requirements that may be specified from time to time.

By participating in the Rewards Program, you represent and warrant, on a continuing basis, that you satisfy all eligibility requirements set out above. You agree to immediately cease participation if you cease to satisfy any eligibility requirement. Eligibility is assessed at all times during participation, including at the time of any Rewards distribution. Determinations of eligibility are made in sole and absolute discretion and are final and binding.

The Rewards Program operates across one or more Rewards Periods. The dates, duration, qualifying activities, Points allocations, Rewards pool, and distribution methodology applicable to each Rewards Period will be published on the Prophecy Points rewards portal (the “Portal”) at or before the commencement of that Rewards Period. Additional specific terms may be published in connection with any Rewards Period and will form part of these Terms. In the event of any inconsistency between such specific terms and these Terms, the specific terms shall prevail.

Any Rewards Period may be extended, shortened, modified, or terminated at any time, with or without prior notice. No liability arises from any such modification or termination.

Participants may earn Points during a Rewards Period by completing qualifying activities as published on the Portal for that Rewards Period. The qualifying activities and Points values applicable to any Rewards Period may be modified at any time. Any such modification will be communicated through the Portal or official channels.

Each eligible wallet address is treated as a separate participant for all purposes under these Terms. Points are non-transferable and may not be combined, pooled, or aggregated across wallet addresses.

Points have no monetary value whatsoever. Points do not constitute property, currency, a financial instrument, a security, or any item of value. Points cannot be redeemed for cash or any other consideration. Points may not be transferred, sold, assigned, or otherwise disposed of outside the Rewards Program. No legal or equitable right or interest in Points is acquired at any time.

Points exist solely as a mechanism for tracking participation in the Rewards Program for the purpose of determining Rewards eligibility and allocation.

Completion of a qualifying activity does not guarantee the accrual of Points. Technical errors, blockchain network disruptions, or other factors outside reasonable control may prevent Points from being recorded. No liability is assumed for any failure to record Points.

Points may be modified, reduced, cancelled, or rendered void at any time in sole and absolute discretion, including in connection with any abuse, manipulation, or violation of these Terms. Points do not vest or become irrevocable at any time. Upon conclusion of a Rewards Period, Points from that Rewards Period will expire unless expressly stated otherwise in the applicable Rewards Period terms.

The Portal may display a leaderboard ranking participants by cumulative Points accrued during a Rewards Period (the “Leaderboard”). Leaderboard rankings displayed during a Rewards Period are indicative only and subject to change at any time, including following the conclusion of the Rewards Period.

Final rankings for the purposes of Rewards distribution will be determined following the conclusion of the relevant Rewards Period and upon completion of any applicable eligibility verification, fraud review, and disqualification process. Final rankings are determined in sole and absolute discretion and are final and binding. The display of a ranking on the Leaderboard does not constitute a confirmation of eligibility for any Rewards.

The Rewards Program is operated independently of each Venue. Qualifying activities under the Rewards Program may involve participation in predictions or other activities on Venues; however, the Rewards Program operator is not a party to, and assumes no responsibility or liability in connection with, any such activity or any relationship between you and any Venue.

Each Venue is operated by an independent third party and is subject to its own terms and conditions, privacy practices, and applicable laws. It is your sole responsibility to review and comply with the terms of each Venue you access. No representation or warranty is made regarding the availability, accuracy, legality, suitability, or quality of any Venue or any content, market, or activity available through any Venue.

Participation in the Rewards Program does not modify or supplement any terms or conditions governing your relationship with any Venue. Points accrued in connection with activity on a Venue are awarded under these Terms solely for the purposes of the Rewards Program and do not create any obligation on the part of any Venue. Any dispute with a Venue must be resolved directly with that Venue.

If a Venue ceases to operate, is removed from the Rewards Program, or becomes unavailable for any reason, Points already accrued in connection with that Venue will be forfeited.

The following conduct is prohibited in connection with the Rewards Program. Engaging in any prohibited conduct may result in immediate disqualification, forfeiture of all accrued Points and Rewards, and suspension or termination of access to the Rewards Program:

• using automated scripts, bots, macros, or other tools to artificially accrue Points or to simulate qualifying activities;

• operating, controlling, or coordinating multiple wallet addresses or accounts for the purpose of accruing additional Points or obtaining an unfair advantage;

• engaging in any form of collusion, coordination, wash activity, or other manipulative conduct in connection with any qualifying activity;

• exploiting errors, vulnerabilities, or unintended behaviour in the Rewards Program systems, the Portal, or any Venue;

• providing false, inaccurate, or misleading information in connection with participation, eligibility, or any verification process;

• transferring, selling, or purporting to transfer or sell Points or any Rewards entitlement;

• taking any action designed to circumvent geographic restrictions, eligibility requirements, or sanctions screening; and

• any other conduct that is abusive, fraudulent, manipulative, or inconsistent with the spirit or purpose of the Rewards Program.

Participation in the Rewards Program may be suspended or terminated, and any or all accrued Points and Rewards may be forfeited, at any time and in sole and absolute discretion, without prior notice, including where:

• a participant has engaged in any prohibited conduct;

• a participant ceases to satisfy any eligibility requirement;

• a participant is or becomes a sanctioned person or is located in a restricted jurisdiction;

• a participant’s conduct is or may be harmful to the integrity of the Rewards Program or to other participants; or

• such action is required or appropriate in order to comply with applicable law, regulation, or any order of a governmental authority.

All disqualification and suspension decisions are made in sole and absolute discretion, are final and binding, and are not subject to appeal or challenge. No obligation exists to provide reasons for any such decision.

These Terms, and the Rewards Program in its entirety, may be modified, suspended, or terminated at any time and for any reason, with or without prior notice. Continued participation in the Rewards Program following any modification to these Terms constitutes acceptance of the modified Terms. If you do not agree to any modification, you must cease participation.

Upon termination of the Rewards Program, all accrued Points will expire and any undistributed Rewards may be cancelled or reallocated in sole and absolute discretion, without liability to any participant.

THE REWARDS PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS ARE EXPRESSLY DISCLAIMED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

NO REPRESENTATION OR WARRANTY IS MADE THAT THE REWARDS PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS. NO REPRESENTATION OR WARRANTY IS MADE REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY INFORMATION PUBLISHED ON THE PORTAL.

THE REWARDS PROGRAM DOES NOT CONSTITUTE FINANCIAL, INVESTMENT, TAX, LEGAL, OR REGULATORY ADVICE. NOTHING IN THESE TERMS OR IN CONNECTION WITH THE REWARDS PROGRAM SHOULD BE CONSTRUED AS A SOLICITATION OR OFFER TO BUY OR SELL ANY FINANCIAL INSTRUMENT OR AS AN INVITATION TO ENGAGE IN ANY INVESTMENT ACTIVITY.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE REWARDS PROGRAM OPERATOR, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR SERVICE PROVIDERS BE LIABLE TO ANY PARTICIPANT OR ANY OTHER PERSON FOR ANY LOSS, DAMAGE, COST, OR EXPENSE OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY, ARISING OUT OF OR IN CONNECTION WITH:

• participation in, or inability to participate in, the Rewards Program;

• any accrual, failure to accrue, cancellation, or modification of Points;

• any distribution, failure to distribute, delay in distribution, or cancellation of Rewards;

• any modification, suspension, or termination of the Rewards Program or any Rewards Period;

• any change in the value, liquidity, availability, or regulatory status of SOMI;

• any activity on or through any Venue, or any act or omission of any Venue;

• any technical failure, system error, network disruption, blockchain failure, smart contract malfunction, or third-party service failure; or

• any regulatory action, government order, or change in applicable law.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH ANY CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR STATUTE, AND REGARDLESS OF WHETHER THE POSSIBILITY OF SUCH LOSS OR DAMAGE HAS BEEN ADVISED.

TO THE EXTENT THAT ANY LIABILITY CANNOT BE EXCLUDED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE REWARDS PROGRAM OPERATOR TO ANY PARTICIPANT IN CONNECTION WITH THE REWARDS PROGRAM SHALL NOT EXCEED ONE THOUSAND UNITED STATES DOLLARS (USD 1,000.00).

You agree to indemnify, defend, and hold harmless the Rewards Program operator, its affiliates, and their respective directors, officers, employees, contractors, agents, and service providers from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your participation in the Rewards Program; (b) your breach of these Terms or any representation or warranty made under these Terms; (c) your violation of any applicable law or regulation; (d) your use of any Venue; or (e) any dispute between you and any Venue or third party.
